Interim notice

These Terms & Conditions are temporary / interim legal copy for early production use on propdha.com. They have not been reviewed by counsel and are not legal advice. Counsel should review them before they are treated as final.

1. About these Terms

These Terms govern access to and use of propdha.com, its subdomains, and the propdha application (together, the Platform), operated by Propdha Solutions P Ltd (propdha, we, us, our).

By creating an account, accepting an invite, accessing the Platform, or otherwise using propdha, you agree to these Terms and to our Privacy Policy at /privacy. If you do not agree, do not use the Platform.

If you accept on behalf of an organisation (for example a property-management firm or landlord entity), you represent that you are authorised to bind that organisation.

This document is an electronic record under the Information Technology Act, 2000. It does not require a physical or digital signature when you accept it by using the Platform.

2. Eligibility and accounts

You must be at least 18 years of age and competent to contract under applicable Indian law.

You must provide true, accurate, complete, and current information and keep it updated. You are responsible for credentials issued to you and for activity under your account, including by people you invite or authorise.

Mobile number is a primary identity signal. You consent to receive service-related OTP, email, SMS, and in-product notices needed to operate your account and workflows. Marketing messages, if any, are separate and may be opted out of where offered.

We may refuse, suspend, restrict, or terminate registration or access where we reasonably believe information is false, the account is compromised, these Terms or law are breached, or continued access would harm other users or the Platform.

3. Nature of the service

propdha is a software / technology platform for residential and related property operations in India. The Platform is designed for property-management firms, landlords / owners, and tenants.

Firm workflows may include organisation registration; communities, properties and units; staff and assignments; management mandates; proposals and firm–landlord workflows; tasks and requests; unit events; messaging; maintenance / contracts hub; documents; and subscription billing for propdha’s own fees.

Landlord workflows may include identity and profile; units and co-ownership; tenancies and related decisions; household / invite access where offered; two-sided rent recording (confirmation of rent events, not collection of rent through propdha); tasks, requests, messaging, and documents.

Tenant workflows may include invite acceptance and activation; tenancy confirmation; rent recording; handover / notice / deposit-related workflows where offered; tasks, requests, messaging, and documents shared for the unit.

The Platform currently does not include society / RWA dues collection as a merchant settlement product; payment-aggregator escrow or virtual-account collection of third-party rent or dues on propdha’s rails; or deep KYC-vendor verification products. Marketing that anticipates future features does not expand these Terms.

propdha is not a licensed property manager merely by providing software; not a real-estate broker or housing agent; not a party to any lease, tenancy, mandate, or maintenance contract between Users; not an escrow agent for rent or deposits; not a guarantor of rent, occupancy, tenant conduct, or property condition; and not a substitute for independent legal, tax, accounting, or licensed property-management advice.

Relationships between firms, landlords, tenants, and other parties remain solely between those parties. Platform records and communications do not by themselves create propdha liability for the underlying real-world arrangement.

4. User obligations and data accuracy

You will use the Platform only for lawful purposes and only for properties, units, tenancies, mandates, and organisations you are authorised to manage or participate in.

You are responsible for the accuracy and lawfulness of data you enter or upload, including property and unit details, ownership shares, tenancy terms, rent and deposit figures, mandate scopes, staff assignments, documents, and communications.

Firm and landlord Users must ensure that invites, mandates, and access grants reflect real authority. You must not misrepresent another party’s decisions, forge confirmations, or use the Platform to harass, defraud, or unlawfully surveil others.

5. Mandates, tenancies, and rent recording

A management mandate on the Platform records, to the extent the product allows, a firm’s scoped authority relative to a landlord and property. Creating or accepting a mandate on propdha does not replace any written engagement you may still need, and does not make propdha a party to that engagement.

Tenancy proposals, confirmations, disputes, handovers, notices, and deposit flows are records and communications tools. propdha does not warrant that any record is a valid, stamped, registered, or enforceable lease or other instrument under Indian law.

Two-sided rent recording means parties may confirm or dispute rent-related entries. propdha does not collect rent on behalf of landlords or firms through the Platform’s own settlement rails.

6. Tasks, messaging, contracts hub, and documents

Tasks, requests, unit events, messaging, maintenance / contracts-hub records, and document storage support operational coordination. propdha does not control third-party vendors you engage and does not warrant outcomes of maintenance, contracting, or disputes between Users.

Content you upload remains yours or your organisation’s, subject to licences needed for us to host, process, display, back up, and share it with authorised counterparties, as described in the Privacy Policy.

7. Acceptable use

You agree not to: violate law or these Terms; attempt unauthorised access to another account, organisation, unit, or record; upload malware or interfere with Platform integrity; scrape or systematically extract data except via a published interface or our written permission; reverse engineer the Platform except as mandatory law allows; send spam or unlawful communications; infringe others’ rights; or circumvent fees, access controls, or usage limits.

We may suspend or terminate access for suspected breach, with or without prior notice where urgency reasonably requires it.

8. Fees, subscription, taxes, and GST

Where offered, propdha charges subscription or service fees for use of the Platform (for example by firms and/or landlords). Tenant access to certain features may be without a propdha subscription fee, as communicated in-product. Fee amounts and billing periods are as shown at checkout or in billing settings.

The money propdha receives through the Platform is its own fee. propdha is the merchant for that subscription charge. Fees are generally non-refundable except where required by law or expressly stated by us in writing.

GST (interim): propdha’s application for GST registration is in process. A GSTIN and related GST invoice particulars will be updated on propdha.com and on invoices when available. Until then, invoices and tax displays may be provisional or incomplete as to GST identity. Applicable taxes will be charged and shown as required once registration and invoice particulars are in place. Do not treat a missing GSTIN as a representation that GST does not apply.

Late or failed payment may result in suspension of paid features. We may change fees prospectively with notice through the Platform or email.

9. Intellectual property

The Platform, including software, design, trademarks, and propdha materials, is owned by us or our licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the Platform as permitted by these Terms.

You may not copy, modify, distribute, sell, or create derivative works from our materials except as expressly allowed. Feedback you provide may be used by us without obligation to you.

10. Third-party services

The Platform may integrate hosting, email/SMS, analytics, payment processors for propdha’s own fees, storage, or other providers. Their terms apply to their services. We are not responsible for third-party outages or acts beyond our reasonable control, except as mandatory law requires.

11. Disclaimers

THE PLATFORM AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant the correctness of User-supplied property, tenancy, mandate, financial, or identity data, or the conduct of any User or third party. Nothing on the Platform is legal, tax, accounting, or licensed property-management advice.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROPDHA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, RENT, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, HOWEVER ARISING.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE FEES YOU PAID TO PROPDHA FOR THE PLATFORM IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF YOU PAID NO FEES, INR 5,000).

Nothing in these Terms excludes liability that cannot lawfully be excluded.

13. Indemnity

You will defend, indemnify, and hold harmless propdha and its officers, directors, employees, and agents from claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use or misuse of the Platform; your content or data; your breach of these Terms or law; or disputes between you and another User or third party concerning property, tenancy, mandate, rent, deposit, maintenance, or related matters — except to the extent caused by our fraud or wilful misconduct.

14. Suspension, termination, and export

You may stop using the Platform and request account closure through available product or support channels. We may suspend or terminate access for breach, non-payment, legal requirement, or discontinuation of the service, with notice where reasonably practicable.

Where the product offers export or privacy tools, you may export eligible data subject to those tools and the Privacy Policy. Retention after termination follows the Privacy Policy and legal requirements. Sections that by nature should survive (including IP, disclaimers, limitation of liability, indemnity, and governing law) survive termination.

15. Security

We implement reasonable technical and organisational security measures appropriate to the sensitivity of the data, including access controls scoped by role and relationship, encryption in transit where appropriate, and logging of administrative actions. No system is perfectly secure. Report suspected security issues to support@propdha.com or hello@propdha.com marked “Security.”

16. Changes

We may update these Terms. For material changes we will give notice via the Platform and/or email where reasonably practicable. Continued use after the effective date constitutes acceptance. If you do not agree, stop using the Platform.

17. Governing law and disputes

These Terms are governed by the laws of India. Subject to mandatory law, courts at Chennai, Tamil Nadu, India, have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform. Parties should first attempt good-faith resolution, including through any in-product support or grievance channel we operate.
